(A) A quorum of shareholders is present;

一、股東符合法定人數(shù);

(B) The shareholders' capital contribution reaches the lower limit of the statutory capital;

二、股東出資達(dá)到法定資本低限額;

(C) The shareholders jointly draw up the articles of association;

三、股東共同制定公司章程;

(D) have a company name and establish an organizational structure that meets the requirements of a limited liability company ;

四、有公司名稱，建立符合有限責(zé)任公司要求的組織機(jī)構(gòu);

(E) have a company residence ;

五、有公司住所;

(F) Approved for establishment by the government approval authority.

六、經(jīng)政府審批機(jī)關(guān)批準(zhǔn)設(shè)立的。

The following conditions shall apply to the establishment of a foreign-invested company limited by shares.

(E) Have a company name and establish an organizational structure that meets the requirements of a joint stock company;

五、有公司名稱，建立符合股份有限公司要求的組織機(jī)構(gòu);

(F) Have a company residence ;

六、有公司住所;

(G) Approved for establishment by the government approval authority.
